Terms of Service
This document is being reviewed and may be revised before LoanRelay is generally available.
These Terms of Service (“Terms”) are an agreement between you and Preston Brown (“we” or “us”), who makes LoanRelay. They cover the LoanRelay desktop app, the LoanRelay browser extension, and the website (together, “LoanRelay”).
By installing or using LoanRelay, you agree to these Terms, the Acceptable Use Policy, and the Privacy Policy. If you use LoanRelay for your employer, you confirm that your employer allows it. If you don’t agree, don’t use LoanRelay.
Who can use LoanRelay
You must be at least 18 and located in the United States. LoanRelay is a business tool for people who work on mortgage loans, such as loan processors, and is offered only to people we have invited.
Early access
LoanRelay is in early access. Features may change, break, or be removed, and we may stop offering LoanRelay at any time. There is no service-level commitment.
LoanRelay is free during early access. If we ever charge for it, we will tell you first, and you won’t be charged unless you agree.
Your license
We give you a personal, limited, non-exclusive, non-transferable, revocable license to install and use LoanRelay on computers you control. You may use it only for work on loans you are authorized to handle, and only as these Terms allow.
What LoanRelay does, and what stays your job
LoanRelay reads documents you give it, such as Closing Disclosures and purchase agreements, and compares their figures with figures from your loan origination system (LOS). When you approve a change, the extension can enter that value into an LOS page open in your browser. It never saves or submits a page; you do that yourself.
LoanRelay can misread a document or make a mistake. You are responsible for checking every value before you save it in your LOS or rely on it. LoanRelay doesn’t replace your judgment, your employer’s review procedures, or any required quality control.
LoanRelay doesn’t make credit or lending decisions and doesn’t give legal, compliance, tax, or financial advice. Disclosures, tolerances, and timing under TRID/RESPA and other rules remain the responsibility of you and your employer.
Your responsibilities
- Use LoanRelay only with information and systems you are authorized to access, and follow your employer’s policies, including any approval it requires before you use new software with customer information.
- Follow the terms of your LOS and any other system you use with LoanRelay.
- Comply with the laws that apply to your work and to the borrower information you handle, including the Gramm-Leach-Bliley Act and its Safeguards Rule, the Fair Credit Reporting Act, the Equal Credit Opportunity Act, RESPA, and state privacy and data-security laws.
- Keep the computer you install LoanRelay on secure: use a password or sign-in, keep the operating system updated, and don’t share your computer sign-in.
- Store your recovery key safely. We never have a copy and can’t recover your data without it.
- Tell us promptly at prestonbrown835@gmail.com if you believe LoanRelay exposed information it shouldn’t have or has a security problem.
Your data
Loan information you put into LoanRelay stays on your computer, encrypted, and isn’t sent to us. You and your employer remain responsible for it, including keeping, protecting, and deleting it as required. LoanRelay doesn’t yet delete individual loans or documents: to delete loan information, you delete the whole LoanRelay data folder. The Privacy Policy explains what we do and don’t collect.
Don’t send us borrower information, loan documents, or LOS exports, including in support requests, unless we have agreed in writing how it will be handled.
Acceptable use
You agree to follow the Acceptable Use Policy, which is part of these Terms.
Other companies’ systems
LoanRelay works alongside software made by others, such as your LOS and your web browser. We aren’t affiliated with those companies, and they aren’t responsible for LoanRelay. Their names and trademarks belong to them. We don’t control their systems and aren’t responsible for changes to them that stop LoanRelay from working.
Feedback
If you send us ideas or feedback, we may use them to improve LoanRelay without owing you anything. Feedback doesn’t include your borrower information, which you shouldn’t send.
Ownership
LoanRelay, including its software, design, and content, is owned by Preston Brown and protected by copyright and other laws, except the open-source components it includes, which are licensed under their own terms. All rights not expressly granted in these Terms are reserved.
Updates
We may release updated versions of LoanRelay. Some fixes, especially security fixes, may be required to keep using it.
Disclaimer of warranties
LoanRelay is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. We don’t warrant that LoanRelay will be error-free, uninterrupted, or secure, or that it will find every difference between documents and your LOS.
Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities, arising from or related to LoanRelay, even if we were told they were possible. Our total liability for all claims related to LoanRelay will not exceed the greater of the amount you paid us for LoanRelay in the 12 months before the claim, or $100.
Some states don’t allow certain of these limits, so some may not apply to you.
Indemnity
You agree to defend and hold us harmless from claims by third parties arising from your use of LoanRelay in violation of these Terms, the Acceptable Use Policy, or the law, including use with information or systems you weren’t authorized to access.
Ending use
You can stop using LoanRelay at any time by uninstalling it and removing the browser extension. We may suspend or end your license if you break these Terms or if we stop offering LoanRelay. When your license ends, you must stop using LoanRelay and uninstall it. The sections on your data, feedback, ownership, disclaimers, limitation of liability, indemnity, and resolving problems continue to apply.
Changes to these Terms
We may update these Terms. We will post the new version with its date and, before material changes take effect, tell you by email if we invited you. The app asks you to accept the new version when you install the version that includes it, before you continue. If you don’t agree, stop using LoanRelay.
Governing law
These Terms are governed by the laws of the State of California and applicable federal law, without regard to conflict-of-law rules. Any dispute that isn’t resolved informally will be brought only in the state or federal courts located in California, and you and we consent to their jurisdiction.
Before filing any claim, you agree to email prestonbrown835@gmail.com describing the problem and give us 30 days to try to resolve it.
General
These Terms, the Acceptable Use Policy, and the Privacy Policy are the whole agreement between you and us about LoanRelay. If any part is found unenforceable, the rest still applies. Not enforcing a provision isn’t a waiver. You can’t transfer these Terms without our written consent; we may transfer them to a successor to LoanRelay.
